Which is a better combo? I need to keep these 2 under $400.

AMD Athlon 64 3400+, Socket 748

its unlikely that someone could just tell you without reading benchmarks, and you can do that yourself anyway.. i edited 2 links to my first post
Id go for anything s939 if youre looking to keep the system future proof btw.
 
I don't really want to OC though. Because I won't have the proper cooling for it till probably next year.
 
The 3200 s939 will overclock well even with the default AMD cooler on it. I would go for the s939 system as thats the most future proof out of the 2 and supports dual channel memory instead of the single channel only that the s754 system supports.
