Time for an upgrade

Well, it's that time again and i'd like to here some suggestions from you guys.

Shite board.I bought it thinking that i'd be able to overclock the core 2 duo cpu without upgrading to ddr2 ram.
I guess i was wrong.

So,I i am thinking of upgrading Mobo along with some RAM.
Maybe a new PSU too, if i can fit it in the $300 budget.

You may want to considering going to an 8800GT 512 or GTS 512, a bit better than the GTS 640.
Also, the IP35 series mobos are pretty solid. If you want to upgrade your mobo, and since you already have a P35 chipset based mobo, I'd recommend just waiting for P45 or X48 based mobos.
 
I Am not planning on getting a new gfx card since i already have a 640 mb 8800 gts.
I Am not frickin Rockefeller.Mobo,Ram and PSU.That is all.

The only reason to get faster RAM is if your FSB is running faster than your RAM.
With your current CPU, your running 800MHz FSB, which is really 200MHz FSB. Your current RAM is DDR2-400, which runs at 200MHz FSB.
I see that it would be making the jump to DDR2 from DDR SDRAM, but I don't think you would see a noticeable performance boost.

Really, I'd just suggest to stick with what ya got, and save up for a whole new rig. Theres lots of nice hardware coming out this year.

Overclocking would be a different story then. :p
And I know you don't have DDR2, thats why I said "I see that it would be making the jump to DDR2".
