LOL just read the announment. What do you think the reasons are? Looks/capslock or just plane out random. The link to the official annoucment is on shacknews. Cant copy past links here.

April 4, 2006 - In big news today, 2K Games announced that the game formerly known as BioShock has undergone a title change. A new face and a new name for Irrational's action RPG with heavy story and horror elements! Let us introduce you to… Bioshock! 2K has formally told Capital S to go straight to hell and rot. No longer will valuable energy be wasted pressing the shift key half way though typing the title. No longer will we have to say the word intercapped on a regular basis when referring to Bioshock!

Hmm, de-emphasizing the "Shock" value might be a good thing. I wish more games/movies/musicians/etc would do the same! :D
 
An alternative reason would be the heavy implication in "Bio Shock" that its related to "System Shock" which EA may claim to be copyright infringement (in a similar way to the removal of "Source" from the mod formerly known as "Black Mesa Source"). Also, Irrational probably want to get away from the idea that Bioshock is anything more than a spiritual successor to System Shock, because they don't want to have gamers judge it by that benchmark, or complain about a lack of psychotic gender-confused computer bitches.

Interesting. It was kind of funny to me when i read the news post. I was like ok......I do like the new spelling more tho.
