the thing that is nagging at me is this:

When we researched and implemented the agreement it was still legally binding(there might be a different set of rules for what we put in place.)

I may just be mis-interpreting this, but it sounds like you changed the condtions that he agreed to after the fact.... and in that case, it'd be invalid, legally and casually. But I might be mis-interpereting it.
